1. Your Acceptance

By visiting and/or using vviki.com website, including all content, software, programming interfaces and services available through the vviki.com domain name or co-branded websites (collectively referred to herein as "VViki.com"), you signify your acceptance of both these terms and conditions published at http://vviki.com/terms.html and the terms and conditions of the privacy notice published at http://vviki.com/privacy.html, and which are incorporated herein by reference. If you do not accept any of these terms you are prohibited from using and/or visiting VViki.com.

2. About VViki.com

VViki.com is a workbench that is designed to fulfill different kinds of intellectual tasks (“Orders”). These Terms and Conditions apply to all users of VViki.com, including users who submit Orders (“Customers”) and users who contribute in Order fulfillment (“Experts”). VViki.com may contain links to third party websites that are not owned or controlled by VViki.com. VViki.com has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites. Further, VViki.com is not responsible for content integrated and/or transmitted into VViki.com pages from other sites, including but not limited to web frames, script files, webcasting or AJAX data loaded from other domains.

3. Access and Interference

A. VViki.com owner hereby grants you permission to use VViki.com as set forth in this Terms of Use, provided that: (i) you will not copy or distribute any part of VViki.com in any medium without written authorization of VViki.com owner; (ii) you will not use VVilki.com for advertising, promoting in any way or offering to sell any goods or services for any commercial purpose, (iii) you will not distribute or post spam, chain letters, surveys, contests or pyramid schemes; (iv) you will not solicit other users to join other services comparable to or competitive with VViki.com, (v) you will not post links on VViki.com that lead to a competitor's site, (vi) you will not harvest or otherwise collect information about VVilki.com users, including email addresses, without their consent, (vii) you will not restrict or inhibit any other user from using and enjoying VViki.com; and (viii) you will comply with all the terms and conditions of these Terms of Use.
B. In order to access most features of VViki.com, you will have to create an account. You may never: (i) use another's account without permission; or (ii) transfer your VViki.com account to another party without our VViki.com consent. When creating your account, you must provide accurate and complete information. You are solely responsible for the activity that occurs on your account, and you must keep your account password secure. You agree to notify VViki.com immediately of any breach of security or unauthorized use of your account using contact information provided at http://vviki.com/contacts.html. Although VViki.com will not be liable for your losses caused by any unauthorized use of your account, you may be liable for the losses of VViki.com or others due to such unauthorized use.
C. You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of VViki.com or with any other person's use of it. You may not attempt to gain unauthorized access to any portion or feature of VViki.com, by hacking, password "mining" or any other illegitimate means. Further, you agree not to use or launch any automated system, including, but not limited to "robots," "spiders," "offline readers," etc., that imposes or may impose (in VViki.com sole discretion) an unreasonable or disproportionately large load on VViki.com servers. However, VViki.com owner grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of enabling online search for VViki.com content.
D. VViki.com owner reserves the right to interrupt the operation of the VViki.com entirety or in part at VViki.com owner’s sole discretion. Also VViki.com owner reserves the right to terminate your access, at its sole discretion and without prior notice, and/or block your future access to VViki.com if VViki.com owner determine that you have violated these Terms of Use.

4. Intellectual Property Rights

The content on VViki.com, except all materials submitted by users, are owned by or licensed to VViki.com owner, subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. Content on VViki.com is provided AS IS and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Notwithstanding the foregoing, VViki.com permits you to place a web link to public VViki.com pages and include VViki.com logo in your link provided you agree to cease such link upon request from VViki.com.

5. User Submissions

A. VViki.com may permit users the submission of data, including but not limited to bulletin board, chat, news group and forum posts, the text, logos, software, scripts, graphics, photos, sounds, music and videos or other communications ("User Submissions") and the hosting, sharing, and/or publishing of such submissions. User Submissions may be done by uploading file to VViki.com website, entering text on VViki.com web pages, filling out VViki.com web forms, accessing VViki.com servers thought programming interface or by any other means provided by VViki.com. You understand and agree that whether or not such User Submissions are published, VViki.com does not guarantee any confidentiality these submissions.
B. You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you affirm, represent, and/or warrant that: (i) you own or have the necessary licenses, rights, consents, and permissions to use and authorize VViki.com to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by VViki.com and these Terms of Use; and (ii) you retain all of your ownership rights in your User Submissions.
C. You hereby grant VViki.com owner (and its successor's) a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, unrestricted, sublicensable (through multiple tiers) and transferable license to store, display, publish, perform, adapt, translate and reproduce your User Submissions and any parts of them in connection with VViki.com business model. However, VViki.com is under no obligation to post or use User Submissions and may remove any of your User Submission at any time in VViki.com's sole discretion.
D. You agree that you will not submit data that is: (i) copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you have permission from their rightful owner to post the material and to grant VViki.com owner all of the license stipulated in this agreement.; (ii) misrepresentation, obscene, defamatory, libelous, threatening, harassing, hateful, racially or ethnically offensive, or is otherwise inappropriate; or (iii) violates any applicable local, state, national or international law, regulation or convention, including without limitation those related to data privacy, international communications, and exportation of technical or personal data.
E. VViki.com does not endorse any User Submission or any opinion, recommendation, or advice expressed therein, and VViki.com expressly disclaims any and all liability in connection with User Submissions. VViki.com is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions. You further understand and acknowledge that you may be exposed to User Submissions that are inaccurate, offensive, indecent, or objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against VViki.com with respect thereto, and agree to indemnify and hold VViki.com, its owners/operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of VViki.com.
F. VViki.com does not permit copyright infringing activities and infringement of intellectual property rights on its Website, and VViki.com reserves the right to remove without prior notice and at its sole discretion User Submissions and terminate the User's access to VViki.com if found that such User Submission infringes on another's intellectual property rights or otherwise violates these Terms of Use.
G. In particular, if you are a copyright owner or an agent thereof and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to the Digital Millennium Copyright Act ("DMCA") by providing VViki.com owner’s Registered Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):
  i. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
  ii. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
  iii. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled and information reasonably sufficient to permit the service provider to locate the material;
  iv. Information reasonably sufficient to permit the service provider to contact you, such as an address, telephone number, and, if available, an electronic mail;
  v. A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and
  vi. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed. Notifications of claimed infringement must be submitted to VViki.com owner’s Registered Agent using the address published at http://vviki.com/agent.html. You acknowledge that if you fail to comply with all of the requirements of this Section 5(G), your DMCA notice may not be valid.

6. Expert Opinions

A. In order to fulfill Order placed by Customer or generated by VViki.com automatically Expert may contribute User Submissions requested in this Order (“Expert Opinions”). You hereby grant VViki.com owner (and its successor's) a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, unrestricted, sublicensable (through multiple tiers) and transferable license to use, display, reproduce, publish, distribute, modify, adapt, translate, prepare derivative works of and perform your Expert Opinions in connection with VViki.com business model, including but not limited to using Expert Opinions in fulfillment of Customer orders either gratis or for a fee paid by Customers to VViki.com owner.
B. VViki.com may permit Customer to obtain your Expert Opinion, any part of or derivative works of by downloading file to VViki.com website, copying text of HTML fragments from VViki.com web pages, accessing VViki.com servers thought programming interface or by any other means provided by VViki.com. You understand and agree that any Customer that receives your Expert Opinion from VViki.com is granted a non-exclusive, worldwide, perpetual, irrevocable, unrestricted, sublicensable (through multiple tiers) and transferable license to use, display, reproduce, publish, distribute, modify, adapt, translate, prepare derivative works of and perform that Expert Opinion or any portion of it.
C. You shall be solely responsible for consequences of obtaining your fulfilled Orders from VViki.com. You affirm, represent, and/or warrant that obtaining and/or using your fulfilled Orders from VViki.com doesn’t not violate any applicable local, state, national or international law, regulation or convention, including without limitation those related to data privacy, international communications, and exportation of technical or personal data.
D. The Orders you submit and the Expert Opinions on these Orders do not form the basis for a professional-client relationship and are not subject to standards or requirements of confidentiality and/or privilege associated therewith. Data provided via your fulfilled Orders is not intended to substitute for informed professional advice. You should bear in mind that the applicability of such data might vary substantially in different areas and according to the factual circumstances surrounding your Order. Accordingly, if you desire or require professional advice, please consult a qualified provider who is licensed in your state or country.

7. Warranty Disclaimer

YOU AGREE THAT YOUR USE OF VVIKI.COM SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, VVIKI.COM OWNER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESSED OR IMPLIED, IN CONNECTION WITH VVIKI.COM AND YOUR USE THEREOF. VVIKI MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THIS VVIKI.COM CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SITE AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF VVIKI.COM, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM VVIKI.COM, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH VVIKI.COM BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONSIN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA VVIKI.COM. VVIKI.COM OWNER DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH VVIKI.COM OR ANY HYPERLINKED WEBSITE OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND VVIKI.COM OWNER WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

8. Limitation of Liability

IN NO EVENT SHALL VVIKI.COM OWNER, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF VVIKI.COM, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM VVIKI.COM, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH VVIKI.COM BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA VVIKI.COM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER ORNOT THE COMPANY IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. YOU SPECIFICALLY ACKNOWLEDGE THAT VVIKI SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU. Notwithstanding with the foregoing, if VViki.com is found to be liable, our liability to you or to any third party is limited to the greater of (i) the total fees you paid to VViki.com in the 12 months prior to the action giving rise to the liability, and (ii) $100 USD. VViki.com is controlled and offered by VViki.com owner from its facilities in the United States of America. VViki.com owner makes no representations that VViki.com is appropriate or available for use in other locations. Those who access or use VViki.com from other jurisdictions do so at their own risk and are responsible for compliance with local law.

9. Indemnity

You agree to defend, indemnify and hold harmless VViki.com owner, its officers, directors, employees and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to VViki.com; (ii) your violation of any term of these Terms of Use; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that one of your User Submissions caused damage to a third party. This defense and indemnification obligation will survive these Terms of Use and your use of VViki.com.

10. Ability to Accept Terms of Use

You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Use, and to abide by and comply with these Terms of Use. In any case, you affirm that you are over the age of 13, as VViki.com is not intended for children under 13.

11. No Agency

No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

12. Notices

Except as explicitly stated otherwise, legal notices shall be served on VViki.com owner’s Registered Agent (in the case of VViki.com) or to the current email address specified in your VViki.com user’s profile (in your case). Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, VViki.com may give you legal notice by mail to current postal address specified in your VViki.com user’s profile. In such case, notice shall be deemed given five days after the date of mailing. VViki.com owner’s Registered Agent address is published at http://vviki.com/agent.html.

13. Consumer Rights

If you should have any complaints about VViki.com, or need further information about it, VViki.com contact customer support service, which contact information can be found at http://vviki.com/contacts.html.

14. Assignment

These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by VViki.com owner without restriction.

15. General

You agree that: (i) VViki.com shall be deemed solely based in Virginia; and (ii) VViki.com shall be deemed a passive website that does not give rise to personal jurisdiction over VViki.com owner, either specific or general, in jurisdictions other than Virginia. These Terms of Use shall be governed by the laws of the State of Virginia. Any claim or dispute between you and VViki.com owner that arises in whole or in part from VViki.com shall be decided exclusively by a court of competent jurisdiction located in Loudoun County, Virginia. These Terms of Use, together with the Privacy Notice published at http://vviki.com/privacy.html and any other legal notices published by VViki.com owner on VViki.com, shall constitute the entire agreement between you and VViki.com owner concerning VViki.com. If any portion of these Terms of Use section is held invalid or unenforceable under any particular circumstance, the balance of these Terms of Use is intended to apply and the Terms of Use as a whole is intended to apply in other circumstances. No waiver of any term of this these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and a failure of VViki.com owner to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision. VViki.com owner reserves the right to revise these Terms of Use at any time and without notice, and it is your responsibility to review these Terms of Use for any changes. VViki.com shall publish actual version of this Terms of Use at http://vviki.com/terms.html. Your use of VViki.com following any amendment of these Terms of Use will signify your acceptance of its revised terms. You and VViki.com owner agree that any cause of action arising out of or related to VViki.com must commence within one (1) year after the cause the cause of action accrues. Otherwise, such cause of action is permanently barred.
